Freddie Mac Offering

Residential Non-performing Mortgage Loans Sale

The Federal Home Loan Mortgage Corporation (“Freddie Mac”), is seeking bids for the sale and purchase (the “Offering”) of (i) four Standard Pool Offerings (“SPO”) of non-performing residential first lien mortgage loans (the “Mortgage Loans”) and (ii) one Extended Timeline Pool Offering (“EXPO”) of Mortgage Loans. Freddie Mac will sell the Mortgage Loans to the auction winner(s) (each, a “Purchaser”) pursuant to the terms of this offering memorandum (“Offering Memorandum”), a mortgage loan purchase and sale agreement with each Purchaser (the “Purchase Agreement”) and the other documents described herein. The auction sale will be subject to Freddie Mac’s determination of the winning bidder(s) and acceptable price and terms for each pool.

Wells Fargo Securities LLC (“WFS”) and First Financial Network, Inc. (“FFN” and together with WFS, the “Advisors”) will assist in the administration and execution of the Offering.

Standard Pool Offering (SPO®)

  • Pool 1: Approximately $229 million
  • Pool 2: Approximately $117 million
  • Pool 3: Approximately $188 million
  • Pool 4: Approximately $200 million

SPO BID DUE DATE: March 14, 2017

Extended Time Pool Offering (EXPO®)

  • Pool 1: Approximately $25 million

EXPO BID DUE DATE: March 28, 2017
